Terms and Conditions

1. Definitions

• App means the Pocket Agent mobile application and related software services.
• User means any person who downloads, installs, or uses the App.
• Business Data means student records, financial data, and other information you enter into the App in the course of your education agency business.
• Services means the features and functionality provided through the App.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the authority to bind your business or organization to these Terms. The App is intended for education agents, study abroad consultants, and related businesses—not for personal consumer use unrelated to an education business.

3. License to use the App

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your internal business purposes.

You may not:

• Copy, modify, or create derivative works of the App except as permitted by law
• Reverse engineer, decompile, or attempt to extract source code except where legally required
• Resell, sublicense, or distribute the App to third parties without our written consent
• Use the App for unlawful purposes or in violation of applicable regulations
• Interfere with or disrupt the App, servers, or networks connected to the App
• Access the App through automated means without authorization

4. Account registration

• You may sign in using Google Sign-In or other methods we provide. You are responsible for maintaining the security of your account credentials.
• You agree to provide accurate information when completing your profile and to keep it up to date.
• We may suspend or terminate accounts that violate these Terms, pose security risks, or are inactive or misused, with notice where reasonable.

5. Your business data and responsibilities

You retain ownership of Business Data you enter into the App. You are solely responsible for:

• The accuracy, legality, and appropriateness of Business Data, including student and financial information
• Obtaining any required consents from students and third parties before collecting or processing their data
• Complying with applicable data protection, education, and financial regulations
• Maintaining backups of critical Business Data where appropriate

We act as a service provider for the App. For Business Data about your students, you are typically the data controller and we process data on your instructions as described in our Privacy Policy.

6. Financial and business disclaimers

The App helps you record payments, balances, profit, and related calculations. It does not provide accounting, tax, legal, or immigration advice. Calculations and reports are based on data you enter. You are responsible for verifying all figures before making business, tax, or legal decisions. We are not liable for errors resulting from incorrect data entry or misuse of reports.

7. Offer notes and generated documents

The App may allow you to create offer notes and similar documents with default or custom terms. Default terms are templates only and do not constitute legal advice. You are responsible for reviewing and customizing all terms before sharing documents with students or institutions.

8. Third-party services

The App may integrate with third-party services (for example Google Sign-In, Google Drive, or device features). Your use of those services is subject to their terms and policies. We are not responsible for third-party services.

9. Availability and updates

We strive to keep the App available but do not guarantee uninterrupted access. We may modify, update, or discontinue features with reasonable notice where practicable. You agree to install updates we provide for security and compatibility.

10. Fees

The App may be offered free of charge or with paid plans in the future. Any fees, billing terms, and refunds for paid features will be disclosed separately before you are charged.

11. Intellectual property

The App, including its design, software, trademarks, and content (excluding your Business Data), is owned by B9zero or its licensors and protected by intellectual property laws. These Terms do not grant you any rights to our branding except as needed to use the App.

12. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, SECURE, OR MEET YOUR SPECIFIC REQUIREMENTS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, B9ZERO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100), IF YOU HAVE NOT PAID ANY FEES.

14. Indemnification

You agree to indemnify and hold harmless B9zero from claims, damages, and expenses (including reasonable legal fees) arising from your use of the App, your Business Data, your violation of these Terms, or your violation of any third-party rights or applicable law.

15. Termination

You may stop using the App at any time by uninstalling it. We may suspend or terminate your access if you breach these Terms or for other legitimate reasons. Upon termination, your license ends. Provisions that by nature should survive (including limitations of liability and indemnification) will survive.

16. Governing law

These Terms are governed by the laws of Bangladesh, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh, unless applicable law requires otherwise.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms at this URL and update the "Last updated" date. Material changes may be communicated through the App or by email where appropriate. Continued use after changes constitutes acceptance.
